I've been experiencing random freezing and audio dropouts in Sony Vegas ever since I upgraded to a legit version of Windows 7.
Vegas will freeze for about 10 seconds whenever I try to play a video clip on the timeline. When it finally decides to start playing the clip, the audio drops out shortly after.
I've gotten this same problem with Vegas 10 and 12 and I have reinstalled them twice.I thought it was my Hard Drive at first, so I got a SSD and moved everything to that but the problem still happens.
I'm thinking its a problem with my RAM now, so once I get some cash I will get some more. My one concern is that everything else on my computer runs fine expect for Vegas. So I just want to check and see if anyone has had this problem in the past before I spend more money.
A strange thing as well, Vegas 10 & 12 will run completely fine initially after a re install. Then after one or two renders the problems start showing up.

I get the same problem all the time. It typically happens for me when I have too many video + audio files in the timeline. I'm not sure of a solution, but as a "temporary fix", I just make sure to preview only a small amount of it.
I'm not sure if you're aware, but you can highlight a certain amount of video/audio in your timeline (depends on what your viewport settings are at, such as best, average, etc. you can check on the top of the viewport) and shift+b to render the highlighted section in Vegas and it will automatically preview it for you. This doesn't temporarily solve the small freeze problem, but I usually don't need to worry about the audio cutting out since I never preview a long period of the video.
